This Affiliate Agreement ("Agreement") is between Stock Trader Network ("STN") and you ("Affiliate"). By joining the STN Affiliate Program, you agree to these terms:

1. Affiliate Services
Affiliate agrees to promote STN’s membership subscriptions and educational resources through their unique affiliate link.

Affiliate will use ethical marketing practices and comply with all applicable laws, including securities regulations.

Affiliate will disclose their affiliate relationship as required by law (e.g., FTC guidelines).

2. Compensation
Affiliate will earn a commission of 20% on each successful membership sale made through their affiliate link (including recurring subscriptions). This does not include trial signups.

Payments will be made monthly via cheque or bank transfer, with a minimum payout threshold of $100.

Payment is considered received when funds are cleared in STN’s account.



3. Intellectual Property
STN retains ownership of all branding, logos, and promotional materials provided to Affiliate.

Affiliate is granted a perpetual, non-exclusive, royalty-free license to use STN’s branding solely for promoting the STN’s services.

Affiliate may not modify STN’s branding or sublicense it to third parties.

STN may use Affiliate’s name and likeness in promotional materials related to the affiliate program.



4. Representations and Warranties
Affiliate warrants they have full authority to enter into this Agreement.

Affiliate warrants that all promotional activities will be truthful, accurate, and compliant with applicable laws.

Affiliate will refrain from giving stock advice or recommendations.

STN warrants that the affiliate program will be managed in a professional manner consistent with industry standards.



5. Limitation of Liability
The total liability of STN under this Agreement shall not exceed the commissions paid to Affiliate. Neither party shall be liable for any indirect, special, consequential, incidental, or punitive damages arising out of this Agreement, whether based in contract, tort, or any other legal theory.


6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared under this Agreement, unless required by law.


7. Indemnification
Affiliate agrees to defend, indemnify, and hold harmless STN, its representatives, and affiliates from any claims, liabilities, damages, or expenses arising from:

Affiliate’s promotional activities or statements.

Violations of securities laws or regulations by Affiliate.

Any claims or suits related to Affiliate’s actions under this Agreement.



8. Termination
Either party may terminate this Agreement with 30 days ’written notice if the other party fails to comply with its terms. In the event of termination:

STN retains the right to withhold unpaid commissions for non-compliance.

Any unused promotional materials remain the property of STN.



9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Michigan, United States. Any dispute shall first be submitted to mediation in Michigan, followed by binding arbitration if necessary, with costs shared equally.


10. General Provisions
Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Amendments: This Agreement may be modified at any time by STN.

Notices: All notices required under this Agreement shall be in writing and delivered by email (admin@stocktradernetwork.com)



11. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements, representations, or negotiations.

Acceptance

By joining the Affiliate Program, both parties acknowledge and agree to the terms of this Agreement.
